Membership

  • Membership in Koa Counsel is limited to individuals who identify as women and are either currently licensed to practice law in the US or internationally or enrolled as law students. By applying for membership, you represent and warrant that you meet these eligibility criteria. Koa Counsel reserves the right to verify eligibility and to deny membership or access to Services or Events to anyone who does not meet these criteria.
  • Membership status is granted at Koa Counsel’s sole discretion and may be contingent upon payment of the applicable Membership Fee(s), as required by Koa Counsel from time to time. Koa Counsel reserves the right to deny any membership application or request for any lawful reason and without obligation to provide an explanation.
  • Koa Counsel is a community of Members, and to become a Member, you must submit an application through this Website (as defined below) and meet any additional eligibility or participation requirements established by Koa Counsel.
  • Members are granted certain exclusive benefits that are not available to non-Members. Member benefits become effective upon Koa Counsel’s acceptance and approval of an individual’s membership application. Specific benefits—such as discounts, special offers, or access to certain Services or Events—may vary from time to time at Koa Counsel’s discretion.
  • To comply with legal requirements and ensure appropriate participation in events, members must be at least 21 years of age to qualify for membership, access the Services, or attend any Events, unless Koa Counsel grants express written permission.
  • Membership in Koa Counsel is for your personal use only. Transfer or assignment of membership to another individual is prohibited.

  • To register for an Event, you must complete the Event registration process and pay all applicable registration fees (if any) prior to the deadlines specified on the Event or Calendar page. Koa Counsel reserves the right, in its sole discretion, to modify any registration fees for Events at any time. Event registration is subject to availability and may close before the posted deadlines. If an Event has reached its stated capacity, you may be placed on a waitlist (if a waitlist is offered by Koa Counsel). However, placement on a waitlist does not guarantee that a spot will become available for you to attend the Event.
  • If the registration page for an Event indicates that registration fees or other fees are required, payment must be submitted at the time of registration. Koa Counsel reserves the right to cancel your registration, without prior notice, if payment is not received in accordance with these Terms of Use. Koa Counsel shall not be responsible for any direct or indirect damages, losses, or expenses arising from such cancellation.
  • Once you have registered and submitted payment for an Event, no cancellations by the registrant are permitted, and no refunds will be provided by Koa Counsel for any such cancellation. Refunds will only be issued if the Event is cancelled by Koa Counsel.
  • Events are subject to change. Koa Counsel may cancel any scheduled Event at any time and may deny, limit, or cancel a registration for an Event (including a confirmed registration) at its sole discretion. Koa Counsel is not responsible for any direct or indirect damages or losses resulting from such cancellation. If Koa Counsel cancels an Event or your registration, and you are in compliance with these Terms of Use and any refund policy posted on the Event registration page, Koa Counsel will issue a full refund of any Event registration fees paid in accordance with that policy. Membership fees are non-refundable and will not be affected by any Event or Services cancellation. In all cases of cancellation by you or Koa Counsel, all other provisions of these Terms of Use shall remain in full force and effect.
  • By attending any Event, you agree to contribute to a safe, supportive, and engaging environment. You must not engage in disruptive speech or behavior or interfere with the Event or the participation of other attendees. Such attendees will not be eligible for a refund of any fees paid to Koa Counsel related to the Event. If you witness inappropriate behavior, you are encouraged to promptly notify a staff member of Koa Counsel so that appropriate action can be taken.
  • You understand and agree that you are fully responsible for your own actions, safety, and welfare while attending any Event. You acknowledge that you will be part of a group setting and agree to conduct yourself in a manner that does not endanger yourself or others. You further agree to exercise ordinary and reasonable care at all times. Some Events may, at Koa Counsel’s sole discretion, provide alcohol, including but not limited to wine, beer, and champagne. Non-Member Attendees may be required to pay the applicable registration fees for the Event (the same as those required of Member Attendees) plus any additional fees as posted on the Event or Calendar page for Non-Member participation. For Events open to the public, Koa Counsel reserves the right to grant priority registration to Members where Event capacity is limited. • Koa Counsel does not endorse, and assumes no responsibility or liability for, the accuracy, completeness, or reliability of any content, information, or materials presented or provided by speakers, participants, or any third parties in connection with Events or related activities.
  • To the extent not prohibited by law, any Members and Non-Member Attendees participating as a speaker or attendee at any Event are deemed to have consented to the recording of their participation. This includes, without limitation, being videotaped, audiotaped, photographed, recorded, or otherwise having their voice, image, or likeness reproduced, edited, broadcast, published, or distributed by Koa Counsel. Such recordings may be used free-of-charge for educational or other non-commercial purposes, including but not limited to classroom instruction, Internet distribution (including webcasts, podcasts, and streaming video), or any other communications medium, whether currently existing or developed in the future. With respect to your use of or access to Services or Web Site, your admittance or maintenance as a Member of Koa Counsel, or your attendance at any of the Events organized by Koa Counsel (collectively, “Offerings”), you agree to the following:

  • To the maximum extent permitted by law, these Terms of Use are governed by the laws of the State of Washington, U.S.A. and you hereby consent to the exclusive jurisdiction and venue of courts in King County, Washington, U.S.A. in all disputes arising out of or relating to Offerings.
  • Use of the of Offerings is unauthorized in any jurisdiction that does not give effect to all provisions of these terms and conditions, including without limitation this paragraph.
  • You agree that no joint venture, partnership, employment, or agency relationship exists between you and Koa Counsel as a result of these Terms or Offerings.
  • Koa Counsel’s performance of these Terms of Use is subject to existing laws and legal process, and nothing contained herein is in derogation of Koa Counsel’s right to comply with governmental, court and law enforcement requests or requirements relating to Offerings or information provided to or gathered by Koa Counsel with respect to the Offerings. If any part of these Terms of Use are determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
  • Unless otherwise specified herein, these Terms of Use, together with the Privacy Policy and if you are an admitted Member of Koa Counsel, the Membership Rules, constitute the entire agreement between you and Koa Counsel with respect to the Offerings, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and Koa Counsel with respect to Offerings.
  • A printed version of these Terms of Use and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms of Use to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. It is the express wish to the parties that these Terms of Use and all related documents be drawn up in English.
  • Any claim, grievance, demand, cause of action or dispute of any kind whatsoever of or by any Member or Non-Member Attendee arising out of, in connection with or in relation to Koa Counsel membership, policy, Web Site, Services or Events and other activities, shall be settled by arbitration administered on an individual, not a class-wide  basis, by the American Arbitration Association in accordance with its Commercial Arbitration Rules.  Such arbitration shall take place in Seattle, Washington, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. However, this process shall not limit Koa Counsel’s right to obtain any provisional remedy including, without limitation, injunctive or similar relief from any court of competent jurisdiction as may be necessary to protect the rights and interests of Koa Counsel or its members.
  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KOA COUNSEL AND/OR ITS LICENSORS OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH (I) THESE TERMS OF USE, (II) ANY OF THE INFORMATION OR OFFERINGS PROVIDED BY THE KOA CLUB OR ITS LICENSORS OR SUPPLIERS THROUGH THE WEB SITE, AT THE EVENTS OR OTHERWISE, (III) USE, ACCESS, PARTICIPATION OR PERFORMANCE OF THE OFFERINGS PROVIDED BY KOA COUNSEL OR ITS LICENSORS OR SUPPLIERS THROUGH THE WEB SITE, AT THE EVENTS OR OTHERWISE (INCLUDING WITHOUT LIMITATION, YOUR PARTICIPATION OR NON-PARTICIPATION AT ANY EVENTS); AND/OR (IV) ANY FAILURE OR DELAY IN PROVIDING ANY INFORMATION OR OFFERINGS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF KOA COUNSEL OR ANY OF ITS SUPPLIERS HAS BEEN ADVISED OF THE POSSIBILITY OF DAMAGES. BECAUSE SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE OFFERINGS, OR WITH ANY OF THESE TERMS OF USE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE OFFERINGS. THE MAXIMUM TOTAL LIABILITY OF KOA COUNSEL AND ITS SUPPLIERS AND LICENSORS TO YOU FOR ALL CLAIMS UNDER THESE TERMS OF USE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, IS $100. EACH PROVISION OF THESE TERMS THAT PROVIDES FOR A LIMITATION OF LIABILITY, DISCLAIMER OF WARRANTIES, OR EXCLUSION OF DAMAGES IS TO ALLOCATE THE RISKS UNDER THESE TERMS OF USE BETWEEN THE PARTIES. THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN THE PARTIES. EACH OF THESE PROVISIONS IS SEVERABLE AND INDEPENDENT OF ALL OTHER PROVISIONS OF THESE TERMS OF USE. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
  • We may, at our sole discretion, periodically make changes to these Terms of Use. By accessing, using or participating in the Offerings, you accept these Terms of Use and any modifications that we may make to these Terms of Use. It is your responsibility to review the most recent version of the Terms of Use frequently and remain informed of any changes to it. If you continue to access, use or participate in any Offerings after we modify these Terms of Use, you will be deemed to have consented to terms of the modified Terms of Use for your use or access of the Offerings as of the date of the modification. If you do not agree to any provision of these Terms of Use, you must not use, access or participate in any of the Offerings.
